The
Project Administrator's services are data collection only, and the Project
Administrator is not responsible for the subject, selection of topics, texting
of polling questions, or answer options appearing on Private Pages and approved
by the Designated Representative of the Contracting Organization.

With
the payment of all sums owed to the Project Administrator for services,
all data from those poll results collected by the Parent Organization on
the behalf of the Contracting Organization will become the property of the
Contracting Organization. Ownership by the Contracting Organization of any
polling questions, results, or to any analysis provided by the Parent Organization
and/or the Project Administrator will not extend to any software, software
applications, descriptions of software or applications, generic language
or documents developed by the Parent Organization and/or the Project Administrator
related to online surveys, polling criteria, planning, principles of organization,
principles and methods of marketing, or to any generic forms or training
materials created by the Parent Organization and/or the Project Administrator,
or any language or terminologies related to the polling process(es) and/or
to the planning process(es) provided for the one-time use of the Contracting
Organization as a part of Parent Organization's survey efforts through the
Project Administrator on behalf of Contracting Organization.

The
Contracting Organization waives all claims of ownership to any the Parent
Organization and/or the Project Administrator processes, software, tradenames,
publication, or other intellectual property in all forms including, but
not limited to any version(s) created for use by The Contracting Organization.

The
Parent Organization and/or the Project Administrator do not warrant the
accuracy or truthfulness of the answers given by the respondents.

The
Parent Organization and/or the Project Administrator will not reveal to
third parties any confidential legal or financial information related to
The Contracting Organization that is not public knowledge or generally known
beyond the Leadership of the Contracting Organization, and that has been
revealed by the Contracting Organization to either the Parent Organization
and/or the Project Administrator as a result of this engagement, without
prior consent.

The
Parent Organization reserves the right at the Parent Organization's sole
discretion to name the Contracting Organization as a Parent Organization
and/or Project Administrator client and to identify the general nature of
the activities undertaken.

Such
confidential treatment is not intended to limit the Parent Organization's
and/or the Project Administrator's ability to provide polling, consultative
or facilitation services to any third party groups, provided that the detailed
results of this engagement, specific to the Contracting Organization, as
well as any confidential written plans or confidential financial information
disclosed to the Parent Organization and/or the Project Administrator in
connection with this activity are not disclosed by the Parent Organization
and/or the Project Administrator to any third parties without the consent
of the Contracting Organization. In addition, the Contracting Organization
acknowledges and accepts that the Parent Organization and/or the Project
Administrator have in the past, are currently, and intend in the future
to engage in polling, planning, consulting and facilitation services with
organizations that may be similar in some respect to the Contracting Organization.

The
Parent Organization and/or the Project Administrator, and anyone acting
on behalf of the Parent Organization and/or the Project Administrator, are
providing polling facilitation services only; All decisions regarding text,
timing, subject or intent of polls are the sole responsibility of the Contracting
Organization and its respective management; the Contracting Organization
waives any claim of liability on the part of the Parent Organization and/or
the Project Administrator and/or anyone acting on behalf of the Parent Organization
and/or the Project Administrator, and agrees to indemnify and to hold the
Parent Organization and/or the Project Administrator and anyone acting on
behalf of the Parent Organization and/or the Project Administrator harmless
from the claims of any third party arising from any Contracting Organization
decisions resulting from this engagement, or the subsequent use of any documentation
related to this engagement.

Should
a dispute arise, the total sum of TRG's liability to the Contracting Organization
is limited to those fees actually paid to the Parent Organization and/or
the Project Administrator for any poll related to which such dispute has
arisen.
